Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("User", "you") and Tamak Group ("Legal OS", "we", "us"), the operator of the Legal OS platform at legals.mu. By creating an account, accessing, or using the platform you agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the platform.

2. The Service

Legal OS is a software-as-a-service platform for Mauritius company secretarial work — company and person record management, KYC document handling, CBRD/CBRIS filings, e-signatures, compliance monitoring, mailbox, billing, and related features. We provide the platform; we do not provide legal, tax, accounting, or regulated professional advice. You remain responsible for the legal accuracy and compliance of your filings.

The platform operates on a hybrid model: account access is free; each corporate filing action (board resolution, F2/F4/F11 filings, share allotment, annual return, etc.) consumes credits at published rates (MUR 100–500 per action). Paid subscription plans provide monthly included credits and feature unlocks. Payment is processed via Paddle. All fees are exclusive of applicable taxes. Credits are non-refundable once an action has generated documents, except as required by law. Subscription refunds are handled per the terms displayed at point of sale.

6. Availability & Changes

We target high availability but do not guarantee uninterrupted service. Scheduled maintenance, upstream provider outages (Supabase, Vercel, Cloudflare, OpenAI, Resend, Paddle), force majeure, and security incidents may cause downtime. We may add, modify, or retire features with reasonable notice where the change is material. Breaking changes to paid features will be communicated at least 30 days in advance.

7. Intellectual Property

The platform, its source code, design, and documentation are owned by Tamak Group. You retain ownership of content you upload. You grant us a limited licence to store, process, transmit, and display your content solely as necessary to operate the platform and provide the service to you. We do not use your data to train general AI models.

8. Data Protection

Our handling of personal data is governed by the Privacy Policy. Key points: sensitive fields are encrypted at rest (AES-256); uploaded documents are stored in encrypted storage; access is row-level-security isolated per organisation; AI processing of identity documents uses OpenAI under a data processing agreement; infrastructure is hosted in the EU (Ireland) via Supabase. Retention follows FIAMLA (5–7 years for KYC) and the Companies Act (7 years for filings).

9. Confidentiality

Each party will keep the other's confidential information confidential and use it only to perform this agreement. Your client data is confidential to you; we will not disclose it except as required by law, court order, or regulatory request, or to sub-processors bound by equivalent confidentiality obligations.

10. Termination

You may close your account at any time from Settings. We may suspend or terminate accounts for material breach of these Terms, non-payment, abuse, or risk to the platform or other users. On termination: we retain data we are legally required to retain (KYC under FIAMLA, audit logs under DPA 2017); all other personal data is deleted or anonymised within 30 days. You may export your data before closure via the DSAR tool in account settings.

11. Disclaimers & Liability

The platform is provided "as is". To the maximum extent permitted by Mauritius law, we disclaim all implied warranties. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the platform. Our aggregate liability in any 12-month period is limited to the greater of (a) the fees you paid to us in that period, or (b) MUR 50,000. Nothing in these Terms excludes liability that cannot be excluded under Mauritius law.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Mauritius. The courts of Mauritius have exclusive jurisdiction over disputes arising out of or relating to these Terms or the platform.

13. Changes to These Terms

We may update these Terms. Material changes will be notified by email and via in-app banner at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
